01 Acceptance of Terms

By accessing and using the U MA WAY website at www.umaway.com or by placing an order for our products and services, you confirm that you have read, understood, and agree to be bound by these Terms of Service.

If you are entering into these terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these terms. If you do not have such authority, or if you do not agree with these terms, you must not use our services.

02 Services

U MA WAY provides the following products and services:

• Supply of high-end enterprise server hardware including Rack Servers, GPU/AI Servers, Blade Servers, and Storage Servers
• Custom server configuration services
• Hardware delivery and installation assistance
• Post-sale technical support and consultation

All products are sourced from Tier 1 manufacturers including ASRock, Moxa Technologies, Asustek Computer, and Foxconn. Product availability is subject to stock and supplier conditions.

We reserve the right to modify, suspend, or discontinue any service or product offering at any time without prior notice.

03 Orders & Payment

All orders are subject to acceptance and availability. We reserve the right to refuse or cancel any order at our discretion.

Quotations

All quotations provided by U MA WAY are valid for 30 days from the date of issue unless otherwise stated. Prices are subject to change after this period due to currency fluctuations, supplier pricing changes, or stock availability.

Payment Terms

• Payment terms will be specified on each invoice or purchase agreement
• U MA WAY accepts bank transfer, and other payment methods as agreed in writing
• Orders will only be processed upon receipt of payment or an approved credit arrangement
• All prices are quoted exclusive of VAT and applicable taxes unless otherwise stated

Pricing

All prices are quoted in the agreed currency and are subject to change without notice prior to order confirmation. We make every effort to ensure accuracy but reserve the right to correct pricing errors.

04 Delivery & Installation

Delivery timelines will be communicated at the time of quotation and are estimates only. U MA WAY shall not be held liable for delays caused by manufacturers, couriers, customs, or circumstances beyond our reasonable control.

• Risk of loss passes to the client upon delivery to the specified address
• The client is responsible for ensuring a suitable environment for server installation
• Installation services, where provided, will be performed by qualified engineers
• Any damage identified upon delivery must be reported to U MA WAY within 48 hours

05 Warranty

All hardware supplied by U MA WAY is covered by the manufacturer's warranty as provided by the respective Tier 1 supplier. Warranty terms, duration, and conditions vary by manufacturer and product.

• Warranty claims must be submitted to U MA WAY in writing
• Warranty does not cover damage caused by misuse, unauthorized modifications, power surges, or improper installation
• U MA WAY will facilitate warranty claims with the manufacturer on behalf of the client
• Extended warranty options may be available and will be specified at the time of quotation

06 Limitation of Liability

To the maximum extent permitted by applicable law, U MA WAY shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill.

Our total liability to you for any claim arising out of or related to these terms or our services shall not exceed the total amount paid by you for the specific product or service giving rise to the claim.

Nothing in these terms shall exclude or limit liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

07 Intellectual Property

All content on the U MA WAY website, including but not limited to text, graphics, logos, images, and software, is the property of U MA WAY or its content suppliers and is protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works of any content without our express written permission.

08 Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of business. This includes pricing agreements, technical specifications, and business information.

This obligation of confidentiality shall survive the termination of any business relationship between the parties.

09 Termination

U MA WAY reserves the right to terminate or suspend access to our services immediately, without prior notice, if you breach any of these Terms of Service or engage in conduct that we determine, in our sole discretion, to be harmful to our business or other clients.

10 Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Gauteng, South Africa.

11 Changes to Terms

U MA WAY reserves the right to update or modify these Terms of Service at any time. Changes will be posted on this page with an updated date. Your continued use of our services after any changes constitutes your acceptance of the new terms.
